Terms of Service

FlipKey.gg ("FlipKey," "we," "us") is a product of FlipMyNFT LLC. These Terms of Service ("Terms") govern your access to and use of the FlipKey.gg website and marketplace utility (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What FlipKey Is

FlipKey is a marketplace utility that helps publishers and creators issue, distribute, and track digital game licenses, in-game items, and promotional entitlements as on-chain receipts, and helps buyers acquire and redeem them. FlipKey is a transaction and attribution layer — not the publisher, seller of record, or issuer of the underlying game keys or entitlements. The publisher of a given product is the merchant of record for that product and is responsible for its issuance, fulfillment, and support.

2. Eligibility

You must be at least 13 years old to use the Service, and old enough to form a binding contract in your jurisdiction. The Service is operated from the United States and intended primarily for users there; you are responsible for compliance with your local laws. Some products may carry additional age or content restrictions set by the publisher or platform.

3. Accounts & Wallets

• You access the Service by connecting a self-custody wallet (e.g., Ronin Stash) and/or signing in through a supported provider.
• You are solely responsible for safeguarding your wallet, private keys, passkeys, and recovery methods. We never hold your private keys and cannot recover them or reverse on-chain transactions on your behalf.
• You are responsible for all activity that occurs through your wallet or account.

4. Purchases, Payments & Fees

• Prices are displayed in the listed currency at checkout. The publisher is the merchant of record; FlipKey facilitates the transaction and does not take custody of your funds.
• Payments are processed by third-party payment and settlement providers, subject to their own terms. FlipKey may charge or retain a marketplace fee, which is reflected at or before checkout.
• You are responsible for any taxes applicable to your purchases except where the publisher or a processor remits them on your behalf.

5. Licenses, Items & Redemption

• A purchase mints an on-chain receipt representing a license, item, or entitlement. Certain licenses are use-bound: they are non-transferable until redeemed, by design, to reduce fraud and grey-market resale.
• Redemption resolves the receipt to a platform-native key or entitlement (e.g., Steam, Epic, PSN, Xbox) issued by the publisher. The applicable third-party platform's terms govern your use of the redeemed product.
• The underlying game, item, or entitlement is provided by the publisher, not by FlipKey. FlipKey does not warrant the content, availability, or continued operation of any third-party product.

6. Refunds & Disputes

Refund eligibility depends on the product and its stage. In general, eligible pre-redemption purchases may be refunded automatically, while post-redemption requests are reviewed by the publisher under the publisher's policy. FlipKey orchestrates refunds but does not custody the funds and does not guarantee any particular outcome on a publisher-reviewed request. Where a product-specific or publisher refund policy is provided, that policy controls.

7. Acceptable Use

You agree not to:

• Use the Service for fraud, money laundering, or any unlawful purpose;
• Acquire or resell licenses obtained through stolen payment methods or in violation of a platform's or publisher's terms;
• Interfere with, probe, or disrupt the Service, or attempt to bypass security, rate limits, or anti-bot measures;
• Misrepresent your identity or infringe the intellectual property or rights of others.

We may suspend or restrict access for conduct that violates these Terms.

8. Blockchain Risks

On-chain transactions are irreversible and occur on public blockchains (currently Ronin) that FlipKey does not control. You acknowledge the risks of blockchain technology, including network congestion, fees, forks, smart-contract vulnerabilities, and the volatility of digital assets. Receipts and balances are read from public chain data and exist independently of FlipKey.

9. Intellectual Property

The FlipKey name, marks, site, and software are owned by FlipMyNFT LLC and protected by applicable law (patent pending). These Terms grant you no license to our marks or software except the right to use the Service as intended. Publisher and platform content remains the property of its respective owners.

10. Third-Party Services

The Service integrates third parties — including wallet providers, Ronin / Sky Mavis, payment processors, and platform identity providers (Steam, Epic, and others). Your use of those services is subject to their terms and policies. FlipKey is not responsible for third-party services or their availability.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. FlipKey does not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by law, FlipMyNFT LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or assets, arising from or related to your use of the Service. Our aggregate liability for any claim will not exceed the greater of the fees FlipKey earned on the transaction at issue or USD $100.

13. Indemnification

You agree to indemnify and hold harmless FlipMyNFT LLC from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected on this page with an updated date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Cook County, Illinois, unless applicable law requires otherwise.
